By submitting this application, I agree to be bound by Varsity Vocals’s Terms of Use, Application Policies, and Competition Rules, and I grant Varsity Vocals the right to record my above-referenced group’s performances at any Varsity Vocals event. I represent and warrant that I am the age of majority in my state or territory of residence, I am authorized to submit this application on behalf of my group (if any group member(s) have not reached the age of majority in their state or territory of residence, I represent that I have obtained permission from such group member’s parent or legal guardian), and that this application does not, and my group’s participation and performances in any Varsity Vocals event will not, violate the rights of any third party.PRODUCTIONFurther to the above Authorization, I, on behalf of myself, the above-identified a cappella group, and all individual members of the above-identified a cappella group, grant to Varsity Vocals, LLC and to anyone authorized by Varsity Vocals, LLC and their respective successors, licensees, and assigns (collectively, “Producer”) the irrevocable right (but not the obligation) to film, tape, photograph, record, exhibit, edit, exploit and/or otherwise use my name and my likeness, voice, conversation, biographical information, sounds, statements, and performance(s) included in my group’s entry materials and/or recorded at any event sponsored and/or produced, in whole or in part, by Varsity Vocals, LLC (collectively, my “Appearance”) on or in connection with certain audiovisual productions (each, a “Production”) in any manner in Producer’s sole election and sole discretion. I agree that as between me, the above-identified a cappella group and Producer that Producer is the sole owner of all the results and proceeds of such film, tape, photography, and/or recording and my Appearance thereon with the right for Producer and its successors, assigns, and licensees in perpetuity and throughout the universe to use the same and any portion thereof of my Appearance in any and all media, whether now known or hereafter devised, including, without limitation, motion pictures, television, internet exploitation, mobile phones and applications, and publishing and in connection with the advertising, sale, promotion, marketing, merchandising, distribution, publicity, and any and all other types of exploitation of the Production or any part thereof. Producer shall also have the unrestricted right to edit the content and text of the Production in any manner or form and to combine my Appearance with any other content. I understand and agree that I shall appear as myself; my Appearance shall not be a performance, shall not constitute an employment relationship between me and Producer, shall not be subject to any union or guild collective bargaining agreement, and shall not entitle me to any wages, salary, corporate benefits, workers’ compensation benefits, or other compensation of any kind, under any such collective bargaining agreement or otherwise.I understand that Producer does not guarantee that my Appearance will be used in the Production and I waive all right to approve the final version of the Production. I agree to release Producer from and against any costs, claims, damages, liabilities of any kind that I may have which may arise from the filming and/or use of the Appearance. I agree that Producer shall not bear liability for any visual distortion that may occur in the use of the Appearance. I further understand that the waivers and releases contained herein expressly apply to the use and/or exploitation of all aspects of my Appearance. I agree to indemnify and hold harmless Producer in connection with any claim or cause of action arising from any claim made by me in relation to my appearance in the Production.
